FORMAL LEGAL NOTICE FOR BREACH OF CONTRACT AND DEMAND FOR COMPLIANCE / PAYMENT
1. INTRODUCTION
We act on behalf of our Client (“the Notice Issuer”) and are instructed to address you through this formal Legal Notice concerning your failure to comply with your contractual and legal obligations arising out of a binding agreement executed between the parties.
This Notice is issued prior to initiation of legal proceedings and affords you a final opportunity to resolve the matter amicably.
2. BACKGROUND
2.1. On or about ___ / ___ / 20__, the parties entered into a valid and legally enforceable agreement (“the Agreement”) whereby you undertook certain obligations, including but not limited to timely performance and/or payment.
2.2. Our Client has duly performed all obligations required under the Agreement in good faith.
2.3. Despite repeated reminders and opportunities, you have failed to honor your commitments, resulting in material breach and financial prejudice to our Client.
3. BREACH AND DEFAULT
Your actions and omissions constitute, inter alia:
- Material breach of contractual obligations
- Failure to perform within agreed timelines
- Unjustified non-payment / non-compliance
- Violation of principles of good faith and fair dealing
Your continued default is legally untenable and unacceptable.
4. DEMAND
Accordingly, we hereby formally demand that you:
a) Remedy the breach and fully comply with the Agreement; and / or
b) Pay the outstanding amount of AED ___ (if applicable); and
c) Confirm compliance in writing
within Seven (7) days from receipt of this Legal Notice.
5. CONSEQUENCES OF NON-COMPLIANCE
Take notice that failure to comply within the stipulated period shall leave our Client with no alternative but to initiate appropriate legal proceedings before the competent courts and/or authorities in the United Arab Emirates, without further reference to you, at your sole risk as to costs, interest, penalties, and legal consequences.
6. RESERVATION OF RIGHTS
This Legal Notice is issued without prejudice to all rights, claims, and remedies available to our Client under applicable laws and contractual provisions, all of which are expressly reserved.
7. AMICABLE RESOLUTION
Notwithstanding the above, our Client remains open to an amicable and commercially reasonable settlement, provided the matter is resolved promptly and in good faith.
