The Sub-Lessor and Sub-Lessee are hereinafter collectively referred to as the “Parties.”
1. BACKGROUND
1.1 The Sub-Lessor is the lawful tenant of the property described below under a valid tenancy agreement with the original landlord (“Head Lease”).
1.2 The Sub-Lessor has obtained the landlord’s consent to sub-lease the Premises (where required by law or contract).
1.3 The Sub-Lessee agrees to take the Premises subject to the terms and conditions set out herein.
2. PROPERTY DETAILS
The property subject to this Sub-Lease is described as follows:

3. SUB-LEASE TERM
3.1 The sub-lease shall commence on ___ / ___ / 20__ and shall expire on ___ / ___ / 20__.
3.2 The sub-lease term shall not exceed the remaining term of the Head Lease.
4. RENT
4.1 The agreed rent is AED __________, payable ___ (monthly / quarterly / annually).
4.2 Rent shall be paid by cash / cheque / bank transfer as agreed.
4.3 Failure to pay rent on time shall constitute a material breach of this Agreement.
5. SECURITY DEPOSIT
5.1 The Sub-Lessee shall pay a refundable security deposit of AED __________ upon signing.
5.2 The deposit shall be refunded upon expiry, subject to deductions for damages or unpaid liabilities.
6. USE OF PREMISES
6.1 The Premises shall be used solely for residential / commercial purposes as permitted under the Head Lease.
6.2 The Sub-Lessee shall not further sub-lease or assign the Premises.
7. MAINTENANCE AND CONDITION
7.1 The Sub-Lessee shall maintain the Premises in good condition.
7.2 Any damage beyond normal wear and tear shall be borne by the Sub-Lessee.
7.3 The Sub-Lessee shall comply with all building rules and community regulations.
8. UTILITIES AND SERVICES
All utility charges, including electricity, water, internet, cooling, and other services, shall be paid by the Sub-Lessee unless otherwise agreed in writing.
9. COMPLIANCE WITH HEAD LEASE
9.1 The Sub-Lessee agrees to comply with all applicable terms of the Head Lease.
9.2 Any breach of the Head Lease caused by the Sub-Lessee shall be deemed a breach of this Agreement.
10. TERMINATION
10.1 Either Party may terminate this Agreement by giving written notice of ___ days, subject to applicable laws.
10.2 This Agreement shall automatically terminate upon termination or expiry of the Head Lease.
11. BREACH AND REMEDIES
In the event of breach, the aggrieved Party shall be entitled to exercise all legal rights and remedies available under applicable laws.
12. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, and disputes shall be subject to the jurisdiction of the competent UAE courts.
13. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the Parties and supersedes all prior communications.
14. AMENDMENTS
Any amendment shall be valid only if made in writing and signed by both Parties.
